8. Fees and Payments

- All fees are non-refundable;
- Non-payment may result in suspension or termination of Services;
- Taxes and levies are your sole responsibility unless otherwise agreed.
9. Third-Party Services
Toya may integrate or cooperate with third-party providers (e.g., KYC/AML tools, banking APIs). We do not control such third-party services and are not liable for their availability, actions, or terms.
Any issues with third-party services must be resolved directly with the provider.
10. Service Availability & Updates
We aim to maintain reliable and secure Services, but do not guarantee uninterrupted availability. Toya reserves the right to:
- Schedule routine or emergency maintenance;
- Implement updates or changes that may impact functionality.
We will make reasonable efforts to notify you in advance when possible.
11. Termination
Toya may suspend or terminate your access if:
- You breach these Terms or applicable law;
- You misuse the platform or engage in unauthorized activities;
- You become insolvent or cease operations.
Upon termination, your license to use the Services is revoked and access will be disabled.
12. Disclaimers & Limitation of Liability
The Services are provided “as is” without warranties of any kind, express or implied.
To the maximum extent permitted by law, Toya shall not be liable for:
- Indirect or consequential damages;
- Loss of profits, data, or goodwill;
- Service interruptions due to factors beyond our control.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the United Kingdom, without regard to conflict-of-law principles.
Any disputes shall be resolved through amicable negotiation. If not resolved, disputes will be submitted to arbitration in London, England.
14. Changes to Terms
Toya reserves the right to update or revise these Terms at any time. Changes will be posted on our website or communicated via email. Your continued use of the Services indicates acceptance of the updated Terms.
